IOS Capital definition

IOS Capital means IOS Capital, Inc., and any successors thereto, as the Originator and the Servicer.
IOS Capital means IOS Capital, Inc., a Delaware corporation, and sole member of IKON Receivables-1, LLC.

  • IOS Capital shall comply with the terms and conditions of and perform its obligations under the Company Documents to which it is a party in all cases in which failure to so comply or perform would result in a default thereunder and shall comply with all material requirements of any law, rule or regulation applicable to it.

  • None of IOS Capital, the Seller or the Issuer may assign its rights under this Insurance Agreement, or delegate any of its duties hereunder, without the prior written consent of the Insurer.

  • IOS Capital will not at any time in the future deny that the Company Documents constitute the legal, valid and binding obligations of IOS Capital.

  • The foregoing indemnity agreement is in addition to any liability which each of the Issuer and IOS Capital may otherwise have to you or any person who controls you.

  • IOS Capital shall furnish to the Insurer all information requested by it that is reasonably necessary to determine compliance with this paragraph.

  • In addition, the Issuer agrees to cooperate with S&P and ▇▇▇▇▇'▇ in connection with any review of the Transaction, conducted during normal business hours and in a manner that does not unreasonably disrupt the business of IOS Capital, that may be undertaken by S&P and ▇▇▇▇▇'▇ after the date hereof upon reasonable notice.
