From and after the IRU Effective Date with respect to each Segment, the maintenance of the Level 3 System within such Segment shall be provided in accordance with the maintenance requirements and procedures set forth in Exhibit "E" attached hereto.
Commencing as of the IRU Effective Date, any loss, damage or destruction of or to the Level 3 System not otherwise required to be insured hereunder shall be treated for all purposes as Unscheduled Maintenance (as defined in Exhibit "E").
The notice shall specify the IRU Effective Date for such Capacity that is desired by Services, and Urbanlink shall use commercially reasonable efforts to provision the System to provide the Capacity by the requested date.
Notwithstanding anything to the contrary contained herein, Customer shall secure, prior to the IRU Effective Date with respect to each Segment in the US WFI System, and maintain in full force and effect during the Term, any and all necessary approvals, consents, rights of way, permits, franchises, licenses or similar approvals from all governmental and other authorities which are necessary or required to be obtained by Customer for the use and operation of the Dark Fibers by Customer.
For greater clarity and the avoidance of doubt, Services is not permitted to order Capacity that would, together with other Capacity provided by Urbanlink to Services, exceed the capacity that could reasonably be provided on the System at the time of the order or with telecommunications equipment that would be available prior to the requested IRU Effective Date.
CITY reserves the right to increase the Fiber Maintenance Fee specified in Exhibit A following the 1st year from and every year thereafter the IRU Effective Date by an amount equal to the increase in the Consumer Price Index published by the United States Department of Labor & Bureau of Labor Statistics.
Subject to the provisions of Section 4.2 of the Agreement, the IRU with respect to the Customer Fibers within each Segment shall terminate on the twentieth (20th) anniversary of the IRU Effective Date (or such shorter period as may be set forth in the Customer Order), and the IRU with respect to the Customer Fibers within each Riser Segment shall terminate on the fifth (5th) anniversary of the IRU Effective Date (the "IRU Term").
If required by the circumstances, the party holding the funds will verify that a return of the funds is appropriate by e-mailing a copy of the check and any accompanying correspondence to the other party and asking for such verification.
Scheduled Maintenance shall commence with respect to each Segment upon the IRU Effective Date.
