Issuance Approval definition

Issuance Approval has the meaning set forth in Section 3.1(c).
Issuance Approval has the meaning assigned to such term in Section 10.07.
Issuance Approval means either (1) the Company has previously obtained stockholder approval to issue the Warrant Shares, or (2) the issuance of the Warrant Shares has been expressly permitted by the Principal Market.

Examples of Issuance Approval in a sentence

  • A copy of the Original Series Consent is attached hereto as Annex A, and a copy of the Note Issuance Approval is attached hereto as Annex B.

  • The Shareholder Issuance Approval, if required hereunder, shall occur before the date that is ninety (90) days after the date of the National Listing (the “Shareholder Issuance Voting Deadline”).

  • The Parent Stock Issuance Approval shall have been obtained in accordance with applicable Laws and the Governing Documents of Parent.

  • Subject to the last sentence of this Section 7.11, the Issuer Board Recommendation shall be included in the Issuance Approval Proxy Statement.

Related to Issuance Approval

  • Stockholder Approval Date means the date on which Stockholder Approval is received and deemed effective under Delaware law.

  • Stockholder Approval means such approval as may be required by the applicable rules and regulations of the Nasdaq Stock Market (or any successor entity) from the stockholders of the Company with respect to issuance of all of the Warrants and the Warrant Shares upon the exercise thereof.

  • Requisite Stockholder Approval means the affirmative vote of the holders of a majority of that company’s issued and outstanding shares entitled to vote on the Merger actually voting in favor of this Agreement and the Merger.

  • Company Stockholder Approval has the meaning set forth in Section 4.2(b).

  • Approval means the prior written consent of the Authority and "Approve" and "Approved" shall be construed accordingly;
