Issue Deed definition

Issue Deed means the issue deed in respect of this Series of ETC Securities dated on or about the Series Issue Date made between, inter alios, the Issuer, the Trustee and the other parties specified therein as amended, supplemented, novated or replaced from time to time.
Issue Deed means the issue deed entered into by the Transaction Parties and such other parties specified therein in relation to the Notes which, amongst other things, creates the Master Agreement and supplements and, to the extent agreed amongst the parties thereto, amends the Trust Deed and the other Transaction Documents in respect of such Notes only (but provided that where one or more further Tranches of Notes are issued in accordance with Master Condition 21 (Further Issues) so as to be consolidated and form a single series with the Notes, and where the context so requires, references to the Issue Deed shall be deemed to include the Issue Deed entered into in respect of such further Tranche or Tranches).
Issue Deed means, in respect of a Series, the issue deed made between, amongst others, the Issuer, the Trustee, the Security Trustee and any other parties specified therein and which constitutes such Series (as amended, supplemented, novated or replaced from time to time) and which will be entered into at the time of the first Tranche of ETC Securities for that Series and which will apply, without further action and without the need for re-execution or execution of a new Issue Deed, to any further Tranches of that Series.

Examples of Issue Deed in a sentence

  • In the event of any inconsistency between the terms of the Issue Deed relating to the Notes and the terms of the Principal Trust Deed, the terms of the Issue Deed shall prevail.

  • The Issuer and the Swap Counterparty will enter into an ISDA Credit Support Annex (Bilateral Form Transfer) (English Law) (containing the paragraph 11 elections set out in the Master CSA Terms dated 5 September 2016, as amended and supplemented by the Issue Deed) by executing an Issue Deed to be dated on or about the Issue Date.

  • In the event of any inconsistency between the terms of the Principal Trust Deed, the terms of the relevant Issue Deed and the terms of the applicable Issue Terms, the terms of the applicable Issue Terms shall prevail.

  • The Issuer and the Swap Counterparty will enter into an ISDA Credit Support Annex (Bilateral Form Transfer) (English Law) (containing the paragraph 11 elections set out in the Master CSA Terms dated 4 September 2015, as amended and supplemented by the Issue Deed) by executing an Issue Deed to be dated on or about the Issue Date.

  • Any communication delivered to any party under this Issue Deed and any Transaction Document which is to be sent by fax or electronic communication will be written legal evidence.


More Definitions of Issue Deed

Issue Deed means, in respect of a Tranche, the relevant issue deed relating to such Tranche, substantially in the form set out in Schedule 11 (Issuer Form of Issue Deed), which, among other things, supplements and, to the extent agreed amongst the parties thereto, amends the Principal Trust Deed and the other Transaction Documents with respect to such Tranche and which is dated the Issue Date of such Tranche between the Issuer, the Trustee and the other Transaction Parties and any other party named in it (but provided that where one or more further Tranches of Notes are issued in accordance with Master Condition 21(a) (Further Issues) so as to be consolidated and form a single series or class with the Notes or a Class thereof, and where the context so requires, references to Issue Deed shall be deemed to include the Issue Deed entered into in respect of such further Tranche or Tranches);
Issue Deed means an issue deed in respect of the Note dated on or about the Issue Date and made between the Issuer, the Trustee (as defined in the Issue Deed) and the other persons specified therein.
Issue Deed means, in relation to each Series, the document described as such relating to such Series substantially in the form attached as Schedule 1 (Form of Issue Deed) to the Trust Terms, and entered into between, amongst others, the Issuer, the Note Trustee and the Security Trustee.
Issue Deed means, in respect of a Series, the issue deed in respect of such Series of Carbon ETC Securities made between, inter alios, the Issuer, the Trustee and the other parties specified therein and which constitutes such Series (as amended, supplemented, novated or replaced from time to time) and which will be entered into at the time of the first Tranche of Carbon ETC Securities for that Series and which will apply, without further action and without the need for re-execution or execution of a new Issue Deed, to any further Tranches of that Series. Any document which amends, supplements or replaces a Transaction Document originally constituted by the Issue Deed shall itself be considered to be part of the Issue Deed as between the parties to such document.
Issue Deed means, in relation to a Tranche of Notes, the issue deed entered into in relation to such Tranche of Notes together with the master trust terms and terms and conditions incorporated therein.
Issue Deed means, in relation to a Series of ETC Securities, the relevant issue deed substantially in the form set out in Schedule 3 hereto or such other form as may be approved by the Trustee, incorporating these Master Trust Terms made between the Issuer, the Trustee and any other parties specified therein and which constitutes such Series of ETC Securities (as amended, supplemented, novated and/or replaced from time to time) and which will be entered into at the time of the first Tranche of ETC Securities for that Series and which will apply, without further action and without the need for re-execution or execution of a new Issue Deed, to any further Tranches of that Series.
Issue Deed means the issue deed entered into by the Issuer, the Trustee, the Managers’ Trustee, the Original Collateral Obligor Trustee and other agents dated 15 September 2015.
