Issue Supplement. Any one or more physical documents or electronic records (signed or unsigned) prepared by the Issuer as provided in Section 2.07 that, together with this Trust Agreement, document the establishment of a Trust, as such documents or records may be amended, modified or supplemented from time to time. An Issue Supplement may be comprised of a document or record in substantially one of the forms appended to this Trust Agreement as Exhibits A and B, or such other form as the Issuer may designate from time to time. Issuer: Xxxxxx Xxx, in its capacity as sponsor of each issuance of Certificates and settlor of each of the Trusts, or any successor or assign that assumes the responsibilities specified for this capacity in the Trust Documents. Issue Supplement. An instrument executed by the parties hereto pursuant to Section 2.01 which supplements this Trust Agreement and identifies and establishes, among other things, a particular Trust Fund and a particular Series of Certificates related to such Trust Fund.

Examples of Issue Supplement in a sentence

  • If for any reason the creation of an Issue Supplement is delayed, the Issuer will create one as soon as practicable, and such delay will not affect the validity or existence of the Trust or the related Certificates.

  • Holders will have no right to a definitive Certificate, unless otherwise provided in the related Issue Supplement.

  • As to any Trust, only this Trust Agreement, the related Issue Supplement and any Amendment related to either of them.

  • If a definitive or temporary Certificate is used, the form of the Certificate, including denominations, as well as the necessary procedures for the registration, transfer, exchange and replacement of the Certificates, and, if applicable, conversion to book-entry form, will be provided in the Issue Supplement.

  • The classes of Notes rank against each other in the order set out in the Issue Supplement.

  • If there is any inconsistency between these conditions and Issue Supplement, the Issue Supplement prevails.

  • The following provisions are hereby added to the Trust Agreement solely in connection with the Series of Certificates authorized by this Issue Supplement.

  • Each Issue Supplement will relate to a specific Pool of one or more Mortgage Loans and the Certificates representing the beneficial ownership interests in the related Trust Fund.

LIBOR: The London interbank offered rate for one-month United States dollar deposits established by Xxxxxx Mae or the Paying Agent on each Index Determination Date for all LIBOR Floating Rate Classes pursuant to Section 4.04 hereof. LIBOR shall be determined on the basis of the method specified in the related Prospectus Supplement.
Issue Supplement means an integral part of these Terms of Issue, constituting Annex 1 to the Terms of Issue, specifying the detailed parameters of the issue of the Bonds, and together with the Terms of Issue, a single document.

Related to Issue Supplement

  • Series Supplement The agreement into which this Standard Terms is incorporated and pursuant to which, together with this Standard Terms, a Series of Certificates is issued.

  • Issue Size means the total number of equity securities offered to the Accredited Investors;

  • Indenture Supplement means the Amended and Restated CHASEseries Indenture Supplement, dated as of October 15, 2004, among the Issuing Entity, the Indenture Trustee and the Collateral Agent.

  • Supplemental contract means a written agreement entered into for the distribution of proceeds under a life, health, or annuity policy or contract.

  • Joinder Supplement means an agreement among the Borrower, a Lender, its Lender Agent and the Administrative Agent in the form of Exhibit E to this Agreement (appropriately completed) delivered in connection with a Person becoming a Lender hereunder after the Closing Date.

  • Supplementary Agreement means the Supplementary Agreement, a copy of which is set out in Schedule 2;

  • Issuer-ICSDs Agreement means the agreement entered into between the Issuer and each of the ICSDs;

  • Pledge Supplement means any supplement to this agreement in substantially the form of Exhibit A.

  • Transfer Supplement has the meaning set forth in Section 6.3(c) of this Agreement.

  • Pricing Supplement means the pricing supplement included as Annex A to the Series Instrument.

  • Medicare supplement policy means a group or individual policy of [accident and sickness] insurance or a subscriber contract [of hospital and medical service associations or health maintenance organizations], other than a policy issued pursuant to a contract under Section 1876 of the federal Social Security Act (42 U.S.C. Section 1395 et. seq.) or an issued policy under a demonstration project specified in 42 U.S.C. § 1395ss(g)(1), which is advertised, marketed or designed primarily as a supplement to reimbursements under Medicare for the hospital, medical or surgical expenses of persons eligible for Medicare. “Medicare supplement policy” does not include Medicare Advantage plans established under Medicare Part C, Outpatient Prescription Drug plans established under Medicare Part D, or any Health Care Prepayment Plan (HCPP) that provides benefits pursuant to an agreement under §1833(a)(1)(A) of the Social Security Act.

  • the Second Supplementary Agreement means the Second Supplementary Agreement, a copy of which is set out in Schedule 3;

  • Country Supplement means a supplement to this Prospectus specifying certain information pertaining to the offer of Shares of the Company or a Fund or Class in a particular jurisdiction or jurisdictions.

  • Certificate of Amendment means the Certificate of Amendment of the Company, the form of which is attached as Exhibit A.

  • Schedule Supplement has the meaning set forth in Section 6.03.

  • Subsidiary Joinder Agreement means a joinder to this Agreement, substantially in the form of Exhibit C.

  • Perfection Certificate Supplement means a certificate supplement in the form of Exhibit L-2 or any other form approved by the Collateral Agent.

  • Supplement means the supplemental terms and conditions that apply to the Cloud Service and that are incorporated in an Order Form.

  • Servicing Supplement means this 2014-1 servicing supplement to the Basic Servicing Agreement.

  • Issue Terms means either (i) where the Securities are not Exempt Securities, the relevant Final Terms or (ii) where the Securities are Exempt Securities, the relevant Pricing Supplement, in each case, as described below.

  • Designation Agreement means a designation agreement entered into by a Lender (other than a Designated Bidder) and a Designated Bidder, and accepted by the Agent, in substantially the form of Exhibit D hereto.

  • Borrower Joinder Agreement means an agreement in substantially the form of Exhibit I or any other form approved by the Administrative Agent.

  • Certificate Purchase Agreement The Purchase Agreement, dated as of [_______], among the Depositor and the Initial Purchasers, relating to the Privately Offered Certificates.

  • Guaranty Joinder Agreement means each Guaranty Joinder Agreement, substantially in the form thereof attached to the Guaranty, executed and delivered by a Guarantor or any other Person to the Administrative Agent pursuant to Section 6.12 or otherwise.

  • Cross-Series Modification means a modification involving (i) the Bonds or any agreement governing the issuance or administration of the Bonds, and (ii) the debt securities of one or more other series or any agreement governing the issuance or administration of such other debt securities.
