IT Expenditures definition
IT Expenditures means any capital expenditures or commitments or additions, whether tangible or intangible, relating to or arising out of the Company's or any of its Subsidiaries' information technology infrastructure (including, without limitation, network software and hardware, back-office systems and related items).
IT Expenditures means Capital Expenditures consisting of all cash amounts paid by the Borrower or any Subsidiary for the acquisition, development, implementation, adaptation, improvement or rollout of an enterprise reporting program or similar program that will significantly consolidate the Borrower’s operating and financial systems into a common platform and materially replace the contract information technology services currently provided by American President Lines to the Borrower’s Stacktrain operations.
Examples of IT Expenditures in a sentence
Seller shall have delivered to Buyer a certificate setting forth Seller’s estimate of the Non-Operating Indebtedness of the Company, the Total Capital Expenditures and the Total IT Expenditures, in each case as of the Closing Date (the “Purchase Price Adjustment Certificate”).
Any Notice of Objection shall specify those items or amounts with which Seller disagrees, together with a detailed written explanation of the reasons for disagreement with each such item or amount, and shall set forth Seller’s calculation of Closing Working Capital, Non-Operating Indebtedness, Total Capital Expenditures and Total IT Expenditures based on such objections.
