Any amendment effected in accordance with this Section 5(▇) ▇▇▇▇ be binding upon Jewelcor, Foreman and their respective successors and assigns.
The total amount of the costs and expenses paid, payable or to be payable by the Company to Jewelcor as reimbursement for Jewelcor's actual expenses incurred pursuant to the Consulting Agreement will not exceed an aggregate of $75,000, all of which shall solely be with respect to the Transactions.
