Joint Advisors has the meaning ascribed to it in Section 2.2(a).

Joint Advisors means any legal, accounting, banking, financial and other advisors and/or consultants that are jointly engaged, terminated or changed by Parent, any other Party and/or the Parties (or any applicable Affiliate of a Party) as determined by the Requisite Investors, as representatives authorized by the Parties. The Parties acknowledge and agree that H▇▇▇▇▇▇ has been jointly appointed as the Cayman Islands legal counsel to the Parties (the “Consortium Cayman Islands Counsel”) and shall be treated as a Joint Advisor hereunder.

Examples of Joint Advisors in a sentence

  • For the avoidance of doubt, the Transaction Expenses shall commence accruing from the earlier of (x) the date of the Consortium Agreement or (y) the date such Joint Advisors were engaged by the Lead Investor pursuant to the Consortium Agreement.

  • The Joint Advisors, Joint Lead Arrangers, Joint Bookrunners, Co-Syndication Agents and Co-Documentation Agents (each as identified on the cover page of this Agreement), in their capacities as such, shall have no rights, powers, duties, liabilities, fiduciary relationships or obligations under this Agreement or any of the other documents related hereto.

  • Without limiting any provision contained in this Section 8, (i) none of the Lenders identified in this Agreement as an "Arranger" shall have, except as and to the limited extent expressly provided herein, any obligation, responsibility or duty under this Agreement other than those applicable to all Lenders as such and (ii) the Joint Advisors, Joint Lead Arrangers and Joint Book Managers hereunder shall have no obligation, responsibility or duty whatsoever under this Agreement.

  • Notwithstanding anything herein to the contrary, the Joint Advisors, Co-Lead Arrangers and Joint Bookrunners, the Syndication Agent and the Co-Documentation Agents named on the cover page of this Agreement shall not have any duties or liabilities under this Agreement, except in their capacity, if any, as Lenders.

  • Each of the Parties hereby agrees, on its own behalf and on behalf of its Related Persons, that the failure of Jimirro or any of the Joint Advisors to provide any such consent will not be a breach of any duty owed by any of such persons to any other person.

  • Jimirro, and each of the J▇▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇all be required for any disclosure of Information by any of Jimirro, the Company or the Joint Advisors to the Company (from and after the date hereof) or any member of the Board of Directors of the Company or to any officer, employee, agent, affiliate or representative of the Company.

  • Any engagement, termination or change of the Joint Advisors shall require the prior unanimous consent of the Consortium Members (which shall not be unreasonably withhold, conditioned or delayed).
