Joint Know-How definition

Joint Know-How has the meaning set forth in Section 8.1.2.
Joint Know-How means Know-How that is made jointly by the Parties or their Affiliates or their Sublicensees in connection with any activity carried out pursuant to this Agreement.
Joint Know-How shall have the meaning set forth in Section 7.4.

Examples of Joint Know-How in a sentence

  • Each Party shall promptly disclose to the other Party in writing, and shall cause its Affiliates, licensees and sublicensees to so disclose, the development, making, conception or reduction to practice of any Joint Know-How or Joint Patents.

  • Each Party shall promptly disclose to the other Party in writing, and shall cause its Affiliates, (and in the case of Adapt, its Sublicensees) to so disclose, the development, making, conception or reduction to practice of any Joint Know-How or Joint Patents.

  • Subject to the terms and conditions of this Agreement, Lightlake hereby grants to Adapt an exclusive (including with regard to Lightlake) worldwide license, with the right to grant sublicenses in accordance with Section 4.4, under the Lightlake Patents, the Product Specific Patents, the Lightlake Know-How, and Lightlake’s interests in the Joint Patents and the Joint Know-How, to Exploit Products.

  • In the event the Parties make any Joint Know-How, the Parties will promptly meet to discuss and determine, based on mutual consent, whether to seek patent protection thereon.

  • Notwithstanding the foregoing provisions of this definition, the term “Licensee Know-How” shall not include Ipsen Licensed Know-How, Ipsen New Formulation Know-How and Joint Know-How.


More Definitions of Joint Know-How

Joint Know-How means all Know-How comprising a Joint Invention.
Joint Know-How means all Know-How included in Joint Inventions, other than any Joint Patent.

Joint Know-How means all Collaboration Know-How that is jointly owned by the Parties in accordance with Section 10.5.
Joint Know-How means Know-How discovered, developed, invented or created jointly by […***…].
