Junior Lien Document definition

Junior Lien Document means, collectively, the credit agreement, indenture or other agreement governing each Series of Junior Lien Debt and the security documents related thereto (other than any security documents that do not secure Junior Lien Obligations).
Junior Lien Document means the Junior Lien Security Agreement and all other “Transaction Documents” (as defined in the Securities Purchase Agreement by and among the Junior Lien Creditor and the other purchasers identified therein and DPW Holdings, Inc., dated as of May 15, 2018) and all other documents, instruments, notices, certificates and agreements executed or delivered in connection with or contemplated by these agreements, including any amendments thereto, or any of the Junior Lien Obligations.   • All notices to any Second Lien Trustee permitted or required under this Agreement may be sent to such Second Lien Trustee as provided in the applicable indenture or other Junior Lien Document.

  • Subject to Section 8.19, in the event of any conflict between the provisions of this Agreement and the provisions of any First Lien Document or any Junior Lien Document, the provisions of this Agreement shall govern.

  • Without the prior written consent of the Lender, the Borrower shall not (a) enter into, or suffer or permit to exist, any amendment or other modification to any Junior Lien Document without the prior written consent of the Lender or (b) incur additional Junior Lien Obligations in excess of the ones outstanding on the date hereof, other than incurring expense reimbursement, indemnity and similar obligations that would constitute Junior Lien Obligations if incurred on the date hereof.

  • The Junior Lien Agent agrees to endorse a memorandum of this Agreement on each Junior Lien Document entered into, or to be entered into, in its favor, and acknowledges the right of the Senior Lien Agent to the production and delivery of a copy of any such Junior Lien Document as soon as reasonably practicable after the Senior Lien Agent requests the same.

  • Notwithstanding anything in this Agreement or any other First Lien Document or Junior Lien Document to the contrary, the time period for any delivery, filing, perfection or other action in respect of the Collateral or insurance (including any notice in respect thereof) as provided in any First Lien Document can be extended by the Administrative Agent in its sole discretion and any such extension shall be applicable to an equal extent under the corresponding Junior Lien Documents.

  • Junior Lien Documents means, collectively, any indenture, credit agreement or other agreement or instrument pursuant to which Junior Lien Debt is incurred and the documents pursuant to which Junior Lien Obligations are granted.

  • Junior Lien Indebtedness means any Indebtedness of any Credit Party that is secured by Liens on Collateral that rank junior in priority to the Liens that secure the Obligations.

  • First Lien Security Documents means the Security Documents and any other agreement, document or instrument pursuant to which a lien is granted or purported to be granted securing First Lien Obligations or under which rights or remedies with respect to such liens are governed, in each case to the extent relating to the collateral securing the First Lien Obligations.

  • Junior Documents means, collectively, with respect to any Junior Obligations, any provision pertaining to such Junior Obligation in any Loan Document or any other document, instrument or certificate evidencing or delivered in connection with such Junior Obligation.

  • Junior Debt Documents means the agreements governing any Junior Debt.

  • Senior Lien Obligations means all revenue bonds and other obligations of the RECIPIENT outstanding on the date of execution of this loan agreement (or subsequently issued on a parity therewith, including refunding obligations) or issued after the date of execution of this loan agreement having a claim or lien on the Gross Revenue of the Utility prior and superior to the claim or lien of the loan, subject only to Maintenance and Operation Expense.

  • Second Priority Debt Documents means the Initial Second Priority Debt Documents and, with respect to any series, issue or class of Second Priority Debt, the promissory notes, indentures, Collateral Documents or other operative agreements evidencing or governing such Indebtedness, including the Second Priority Collateral Documents.
