K-12 School Market definition

K-12 School Market has the meaning set forth in Section 7.13(a).
K-12 School Market means educational institutions that serve children approximately ages 5 through 18, including but not limited to public schools or school districts, private schools, charter schools, state and regional educational agencies and quasi-governmental bodies, and home schools (provided that such term shall not include sales to individual consumers for their own children being home-schooled, so long as the product is not marketed for home school purposes). Notwithstanding the foregoing, Seller may purchase or otherwise acquire up to three percent (3%) of the securities of any Person (but may not otherwise participate in the activities of such Person) engaged in such business if such securities are listed on any national or regional securities exchange or have been registered under Section 12(g) of the Securities Exchange Act of 1934, as amended.
