As of the Effective Date, the Company shall have retained a financial public relations firm reasonably acceptable to the Representative and the Company, which shall initially be KCSA Strategic Communications, which firm shall be experienced in assisting issuers in public offerings of securities and in their relations with their security holders, and shall retain such firm or another firm reasonably acceptable to the Representative for a period of not less than two (2) years after the Effective Date.
KCSA will not attempt to engage or engage in any transaction for the sale, transfer or other disposition of the Shares which shall be for an amount of shares in excess of five percent (5%) of the then existing trailing 30-day average daily trading volume of the Company’s Common Stock.
