Key Customer definition

Key Customer has the meaning set forth in Section 3.20(a).
Key Customer means each of the customers or programs set forth on Schedule 1.1(d) of the Seller Disclosure Schedule.
Key Customer means key customers of the Target listed on Schedule 7.03(h).

  • No Key Customer has any right to any credit or refund for products sold or services rendered or to be rendered by the Company or any of its Subsidiaries pursuant to any Contract with or practice of the Company or any of its Subsidiaries.

  • To the Knowledge of the Company, no Key Customer has threatened to take any action described in the preceding sentence as a result of the consummation of the transactions contemplated by this Agreement.

Key Customer has the meaning set forth in Section 2.17.

Key Customer means each customer associated with the Business (other than the Sellers or their Affiliates) that paid either Seller or the Sellers, in the aggregate, in excess of $10,000,000 for the sale of products from the Business during the 12-month period ended December 31, 2005.

Key Customer means each of the top twenty (20) customers of the Business who receive goods or services of the Business through Contracts directly with Seller or any of its Subsidiaries, determined on the basis of aggregate revenue of the Business for the twelve (12) month period ended December 31, 2023, and each of the top twenty (20) customers of the Business who receive goods or services of the Business through Contracts directly with Seller or any of its Affiliates, determined on the basis of aggregate revenue of the Business for the five (5) month period ended May 31, 2024, in each case as set forth on Schedule 1.1(d) of the Seller Disclosure Schedule.
Key Customer means the top ten (10) customers of the FH Business during the last full fiscal year, set forth in Section A(7) of the Seller’s Disclosure Letter, based on dollar sales volumes of the FH Business during the twelve(12) month period ended December 31, 2016.
