Key Technology definition

Key Technology means the intellectual property, including but not limited to, patents, trademarks, copyrights, trade secrets and know-how and improvements thereto owned or licensed by Recipient which are the assets under development as described in Recipient’s Supplemental Information Form (the “SIF”), a copy of which is attached as Exhibit C hereto.

  • Key Technology Areas (KTAs) are technical developments that are seen by the AMICI Partners as critical gaps in the technology development path for future RIs. Failure to substantively address the KTAs will lead to excessive costs, delays or failure to complete future RI developments, negatively impacting on the availability of advanced research facilities across Europe, and lessening their scientific, societal and economic impacts.

  • Key Technology partnerships are currently being concluded in Europe with TU Delft/Eindhoven in the Netherlands, Royal Swedish Institute of Technology (KTH), and with Leeds and Dundee Universities in UK.

  • The Restricted Shares shall become vested based upon the Participant's continued service as a member of the Key Technology, Inc.

  • Company Technology means all Technology used in or necessary for the conduct of the business of the Company or any of its Subsidiaries, or owned or held for use by the Company or any of its Subsidiaries.

  • Proprietary Technology means the technical innovations that are unique and

  • New Technology means methods, products, processes and procedures developed through science or research;

  • Third Party Technology means any Patents, Information, inventions, or other intellectual property owned or controlled by a Third Party but not Controlled by a Party or its Affiliates.

  • Background Technology means all tools, programs, designs, processes, formulas, techniques, improvements, inventions, works of authorship, software, data, know-how, ideas, methodologies, specifications, code libraries, algorithms, protocols, routines, subroutines, network systems, machine learning models, Trade Secrets (defined below), and other technology which are: (a) created, developed, owned, or licensed by PickNik prior to the Effective Date of this Agreement; (b) are created, developed, owned, or licensed by PickNik during the term of this Agreement but not delivered as a part of the Software; (c) which have general applicability to PickNik’s business and which are not based on any Company Confidential Information; or (d) modifications of or derivatives to any of the foregoing.
