Known Leakage definition

Known Leakage means any Leakage which is, prior to the Closing, agreed in writing between the Sellers and the Purchasers to be deducted from the Estimated Purchase Price payable at Completion.
Known Leakage the amount of any Leakage which has occurred at any time from the Accounts Date up to and including Completion, or to be effected at any time after the Accounts Date pursuant to an agreement entered into prior to the Completion Date, which is actually or deemed received by or on behalf of, or benefitted from by (pursuant to limb (e) of the definition of Leakage (below)), the Seller or any of its Affiliates or its connected persons

Examples of Known Leakage in a sentence

  • The Vendors Representative shall reflect any and all Known Leakage in the Pre-Completion Notice to be delivered to the Purchaser, and shall deliver an updated Pre-Completion Notice as soon as reasonably practicable (and in any event, prior to Completion) upon obtaining knowledge of any Known Leakage not reflected in the Pre-Completion Notice.

Known Leakage means any premium or insurance premium tax in connection with the Purchaser’s Insurance Policy, any payment or commitment to pay or contribute to the debt service reserve account amount or any upfront fee payable in accordance with the Bayern Facility in relation to the Third Party Debt (or any other financing by the Purchaser).
