Lack of Financing has the meaning set forth in Section 3.4.

Examples of Lack of Financing in a sentence

  • For clarity, Company shall not be entitled to an extension of any Development Milestone and Exhibit C shall not be deemed amended as a result of any Extension Request if Lack of Financing or Deprioritization have caused the delay or failure in connection with which such Extension Request is made or if the proposed extended Development Milestones are not commercially reasonable.

  • Within thirty (30) days after such Registration Period or Quiet Period expires, or within thirty (30) days after the Company obtains a Waiver or Purchase Financing which removes the Breach or Lack of Financing condition, the Company shall purchase from the Consultant that number of Put Shares specified in any applicable Exercise Notice given to the Company, if the Exercise Notice otherwise satisfies the terms of paragraph 5(a) hereof.

  • Notwithstanding the foregoing, the Company shall be entitled to postpone the purchase of the Put Shares during the existence of any of the following conditions: (i) a Registration Period (as defined below), (ii) a Quiet Period (as defined below), (iii) a Breach would occur as a result of the purchase, or (iv) a Lack of Financing.
