Lack of Orders definition

Lack of Orders means any lack of orders as measured in SAP that exceeds the amount of lack of orders accounted for in Budgeted Capacity (as determined by IP during its annual budgeting process and adjusted for any calendar year on each Annual Adjustment Date); provided that downtime that is caused by IP’s operational inefficiency shall not be charged to Sylvamo.
