If ZENECA reasonably determines that it is necessary for it to obtain the licenses granted hereunder [ * ] in order to allow sublicensing in a territory in which ZENECA cannot reasonably develop or commercialize on its own, ISIS will grant such licenses upon notice from ZENECA of its requirement and an agreement from ZENECA to pay ISIS any additional expenses incurred by it for example, fees required to convert patents and/or patent applications to Large Entity status.
