Last Time Buy definition

Last Time Buy means Nevro’s option to order any quantities of Products totaling up to the quantities ordered by Nevro over the preceding [***] period, subject to the requirements set forth in this Agreement.
Last Time Buy means the Seller’s anticipated shutdown of the Businesses and related last time buy opportunity for products of the Businesses, as announced to the Seller’s customers and suppliers on or about April 24, 2023.
Last Time Buy means sufficient materials to cover the time necessary to select a new supplier and begin receiving production quantities from them.

More Definitions of Last Time Buy

Last Time Buy. Notwithstanding anything to the contrary herein, Buyer reserves the right to place a last-time firm order with Supplier for any Good, subject to the same terms and conditions of this Contract, in the event that this Contract terminates or expires for any reason, or Supplier ceases, or intends to cease, to supply such Good or otherwise terminate or materially reduce its business relationship with Buyer, in each case, at any time during the twelve (12) month period following the date that Supplier last delivered such Good to Buyer. The quantity of Goods in such last-time firm order may not exceed the total quantity ordered by ▇▇▇▇▇ over the twelve (12) month period immediately preceding the date that Supplier last delivered such Good to Buyer. Unless otherwise agreed upon between the parties, the Supplier shall fulfill any such order as soon as commercially reasonable, but in no event later than ninety (90) days after Supplier’s receipt of Buyer’s PO. This paragraph shall survive the expiration or termination of the Contract for any reason.
