Lawful instruction definition

Lawful instruction means any direction, guidance, assistance or command that is not unlawful, given by a senior officer to a subordinate, whether given verbally or in writing;

  • Any director of an Enterprise and any other person with management or control function with respect to an Enterprise shall be liable for any damage sustained by such Enterprise as a result of his failure to comply with a Lawful instruction of a duly authorized representative of the Agency acting within the powers of the Agency.

  • Instruction means a notification communicated to the issuer of an uncertificated security which directs that the transfer of the security be registered or that the security be redeemed.
