The Company shall maintain the listing of shares of its Common Stock, including without limitation, the Shares, Warrant Shares and LD Shares, if any, on the Over-the-Counter Bulletin Board until such time as it has listed the shares of Common Stock, including without limitation, the Shares, Warrant Shares and LD Shares, if any, on Nasdaq's National Market or Capital Market or the American Stock Exchange and thereafter shall maintain such listing.
Upon the issuance of the Warrant Shares pursuant to the Warrant and shares of Common Stock, if any, pursuant to Section 2(b) of the Registration Rights Agreement (the "LD Shares"), the all stock transfer or other taxes (other than income taxes) which are required to be paid in connection therewith will be, or will have been, fully paid or provided for by the Company and all laws imposing such taxes will be or will have been fully complied with.
As of the date hereof, the Company has reserved and the Company shall continue to reserve and keep available at all times, free of preemptive rights, a sufficient number of shares of Common Stock for the purpose of enabling the Company to issue Shares pursuant to this Agreement, Warrant Shares pursuant to any exercise of the Warrants and LD Shares, if any, pursuant to the Registration Rights Agreement.
