Examples of Leakage Notice in a sentence
A Leakage Notice shall not be valid unless it specifies in reasonable detail the factual basis of the alleged Leakage and evidence on which the Purchaser relies and sets out the Purchaser’s estimate of the amount of the Leakage Amount (including its calculation of the relevant Leakage Amount).
If any Leakage (other than Permitted Leakage) occurs that is not otherwise accounted specifically and expressly for in the determination of the Adjusted Purchase Price, Purchaser may deliver a Leakage Notice to UK Seller in respect of such Leakage.
UK Seller covenants to pay or cause to be paid to Purchaser, within 15 Business Days after a Leakage Notice becomes final and binding on the parties hereto pursuant to Section 3.03, an amount in cash equal to the amount or value of such Leakage (the “Leakage Amount”).
Any Leakage Notice shall become final and binding upon the parties hereto on the 15th Business Day following delivery thereof, unless UK Seller gives written notice of its disagreement with the Leakage Amount (a “Notice of Disagreement”) to Purchaser prior to such date.
The Seller shall not have any liability under this Section 6.13 unless a Leakage Notice has been sent to the Seller in writing on or before the expiry of 24 months after the Closing.
