Lease Closing Date definition

Lease Closing Date means the date on which all conditions precedent pursuant to Article V (Conditions precedent) have been satisfied or waived;

Lease Closing Date means a date on which Lease Documents with respect to some or all of the Leased Assets are executed and delivered and all conditions precedent to the performance of the obligations thereunder are satisfied or waived in accordance with the terms thereof.

• No license, authorization or approval or other action by, and no notice to or filing with, any Governmental Authority is required for its due execution, delivery and performance of this Agreement or the transactions contemplated hereby, in each case, that has not been made or obtained other than registrations and notifications that are permitted to be obtained after the Lease Closing Date, which Servicer shall obtain or cause to be obtained within the statutorily prescribed timeframe.

• Without limiting the generality of Section 3.3 above, each Originator shall authorize and deliver and file or cause to be filed appropriate continuation statements not earlier than six months and not later than one month prior to the fifth anniversary of the date of filing of the financing statements filed in connection with the Lease Closing Date or any other financing statement filed pursuant to this Agreement, if the Final Settlement Date shall not have occurred.

• A total of $3,664,300 of the Disbursement Amount is available for disbursement prior to the Ground Lease Closing Date as follows: $1,615,300 is available for predevelopment uses, identified as uses in the Table of Sources and Uses not defined as “Demolition”, “Construction” or “Hard Cost Contingency”, and $2,049,000 is avaibable for horizontal construction uses, identified in the Horizontal Uses of the Table of Sources and Uses as uses related to “Demolition”, “Construction”, or “Hard Cost Contingency”.

Lease Closing Date means December 2, 2015;
