USD 1,500,000 payable on the date of successful completion of the Deer Hunter and Legacy Games Transition pursuant to the Transitional Services Agreement, provided that Buyer shall be entitled to deduct from such payment an amount equal to the Aggregate Employee Bonus Payments paid by the Buyer to the Specified Employees on the Bonus Payment Date, as set out in clause 4.3 below.
From and after the Closing, neither Seller nor any of its Affiliates (excluding, for the avoidance of doubt, the Transferred Companies) will claim or have any ownership interest in the Legacy Games.
