Legend Merchant Group and jointly with M▇▇▇▇▇ ▇▇▇▇▇▇, also referred to herein variously as “you,” or the “Representatives”) and with the other underwriters named on Schedule I hereto for which M▇▇▇▇▇ ▇▇▇▇▇▇ and Legend Merchant Group are acting jointly as Representatives (the Representatives and the other underwriters being collectively called the “Underwriters” or, individually, an “Underwriter”) as follows:

  • Inc, and Mid-South Capital, Inc., broker dealers registered under the Securities Exchange Act of 1934, as amended (the "Exchange Act"), and members of the National Association of Securities Dealers, Inc., and issued warrants to Legend Merchant Group, Inc.

  • On the Closing Date, the Company shall have delivered to the Representative and Legend Merchant Group, Inc.

  • The Seller has not agreed or become obligated to pay, or has taken any action that might result in any Person claiming to be entitled to receive, any brokerage commission, finder’s fee or similar commission or fee in connection with any of the Transactions other than the fee payable to Legend Merchant Group, and Buyer shall have no liability for payment of the fee payable to Legend Merchant Group.

  • The Company shall deliver to the Representative and its designees, including Legend Merchant Group, Inc., upon payment therefor, certificates for the Representative’s Purchase Option in the name or names and in such authorized denominations as the Representative may request.

  • Between August 22, and November 22, 2005, the Company has sold 3,161,111 Units in the Regulation D Offering to a limited number of investors, realized aggregate gross proceeds of $5,690,001, paid placement agent fees of $357,200 to Legend Merchant Group.

  • This Agreement and the provisions hereof shall be binding upon and shall inure to the benefit of each of the parties hereto, to ▇▇▇▇▇▇ ▇▇▇▇▇▇ & Co. Inc., Legend Merchant Group and their respective successors and the permitted assigns of the Investor or holder of Registrable Securities or of any assignee of the Investor or holder of Registrable Securities.

Related to Legend Merchant Group

  • Transient merchant means any person, firm, or corporation who engages in a temporary or itinerant merchandising business, intending to remain in business in the City of Waverly for less than one year, and in the course of such business hires, leases, or occupies any building or structure whatsoever or who operates out of a vehicle which is parked anywhere within the City limits. Temporary association with a local merchant, dealer, trader, or auctioneer, or conduct of such transient business in connection with, as a part of, or in the name of any local merchant, dealer, trader, or auctioneer shall not exempt any person, firm, or corporation from being considered a transient merchant.

  • Personal wireless services means commercial mobile services, unlicensed wireless services, and common carrier wireless exchange access services, as defined by federal laws and regulations.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Customer Group means Customer and any of its Affiliates;

  • AMC means Annual Maintenance Contract
