Legitimate Business Purpose definition

Legitimate Business Purpose means any purpose furthering or in the best interest of the Company and shall include the following in connection with:
Legitimate Business Purpose means in connection with (in each case for the period prior to the Closing Date) (i) the preparation of financial statements, (ii) any filing with or investigation, inquiry or request for information by a Governmental Authority (including, without limitation, relating to an audit or any proceeding), (iii) a party’s compliance with applicable laws and regulations or contractual obligations, (iv) litigation and insurance matters and (v) any other reasonable business purposes.
Legitimate Business Purpose has the meaning set forth in Section 8.6(a).
