Lessor Managing Member means the bankruptcy-remote special purpose vehicle and wholly-owned subsidiary of the Borrower that is the managing member of a Lessor Partnership.

  • The adoption of or participation in any ERISA Plan, or intention to adopt or participate in any ERISA Plan, by the Borrower or a Partnership Managing Member, a Lessor Managing Member, or a Lessor, in each case, of a Subject Fund, or the occurrence of any ERISA Event.
