Liabilities Assumed by Assuming Institution Sample Clauses
The "Liabilities Assumed by Assuming Institution" clause defines which debts, obligations, or responsibilities the institution taking over another entity will be required to honor. Typically, this clause outlines specific categories of liabilities—such as customer deposits, outstanding loans, or contractual obligations—that the assuming institution agrees to take on as part of a merger, acquisition, or similar transaction. By clearly delineating which liabilities are transferred, the clause ensures both parties understand their ongoing responsibilities and helps prevent future disputes over unaddressed obligations.
