License and Permit definition

License and Permit means all authorization, consents, approval, notification and permissions and any license, ruling, exemption or other authorization of whatsoever nature which is required to be obtained under Applicable Law for or in respect of the agreement including for the performance of any obligation or exercise of any right by a party under the Agreement, and in respect of the licensee to also mean any approvals and consents required from N.C. RAILWAY.
License and Permit means any permit, license, registration, consent, approval or other authorization provided or granted by or from a Governmental Authority in any jurisdiction that is required for (i) the operation of the business of the Transferred Companies, collectively or (ii) the ownership, possession, occupation or use of any assets of the Transferred Companies.

Examples of License and Permit in a sentence

  • Except as set forth in Schedule 2.13, no such License and Permit will in any way be affected by, or terminate or lapse by reason of the transactions contemplated by this Agreement.

  • Each Parent License and Permit has been duly obtained, is valid and in full force and effect, and is not subject to any pending or, to the Knowledge of Parent, threatened administrative or judicial proceeding to revoke, cancel, suspend or declare such Parent License and Permit invalid in any respect, except, in each case, as would not, individually or in the aggregate, have a Parent Material Adverse Effect.

  • The Licenses and Permits are sufficient and adequate in all material respects to permit the continued lawful conduct of the business of the Company and its Subsidiaries, and none of the operations of the Company or its Subsidiaries are being conducted in a manner that violates in any material respects any of the terms or conditions under which any License and Permit was granted.

  • The applicability and validity of each such License and Permit will not be adversely affected by the consummation of the transactions contemplated by this Agreement.

  • The Principal Assets constitute all patents, licenses, permits, consents, approvals or authorizations of governments, governmental authorities or quasi-governmental authorities (both United States and foreign) currently owned or held by Company in connection with the Business (the “Patents, Licenses and Permits”), and, except as may be noted on Schedule 3.19, Company is the owner or exclusive licensee of each such Patent, License and Permit.

  • Each License and Permit has been duly obtained, is valid and in full force and effect, and is not subject to any pending or, to the Company's knowledge, threatened administrative or judicial proceeding to revoke, cancel, suspend or declare such License and Permit invalid in any respect.

  • Each Company Group License and Permit has been duly obtained, is valid and in full force and effect.
