License Assets definition

License Assets has the meaning set forth in Section 1.4 hereof.

License Assets means the FCC Licenses and the other Assets described on Schedule I hereto.

License Assets means all FCC Licenses.

Examples of License Assets in a sentence

• License Transfer, Sellers shall sell, assign, transfer, convey and deliver to Buyer free and clear of any Encumbrances other than Permitted Encumbrances, and Buyer shall purchase, acquire, pay for and accept from Sellers, all right, title and interest of Sellers in, to and under the Assets, other than the License Assets.

• All proceeds received from a transfer of the License Assets to any such successor licensee shall be for Buyer; provided, however, to the extent Buyer has not incurred any Losses for which the Sellers have indemnified Buyer pursuant to the preceding sentence, Sellers shall receive the amount of TWO MILLION DOLLARS ($2,000,000) which would otherwise have been payable to Sellers at Closing pursuant to Section 2.5.2.

• Each party shall cooperate with all reasonable requests of the other party and the QI in arranging and effecting the transfer of the License Assets to and from the QI.

• The FCC Independent Trust Agreement shall in all instances provide for the FCC Trustees’ cooperation with the New Board in connection with a transfer or sale of the FCC License Assets to a third party in the event that the FCC Long Form Application is denied or is not approved within a reasonable period of time.

• Each party hereto represents, warrants, covenants and agrees that for tax purposes the sale of Assets (except for the License Assets) is not effective until the Transfer Date, and the sale of the License Assets is not effective until the Closing Date.

More Definitions of License Assets

License Assets means, collectively, (i) the FCC Licenses, (ii) the transmitter equipment listed on Schedule 2.4 hereto, (iii) the intangible property described in Section 2.1.5 of this Agreement, (iv) the logs and all materials maintained in the FCC public file relating to the Station, technical data, political advertising records and all other records, correspondence with and documents pertaining to the FCC, and (v) and the promotional materials described in Section 2.1.8 of this Agreement.

License Assets means individually the STC License Assets and the HAT License Assets.

License Assets means the trademarks, trade names, Know-how or other Intellectual Property, the books, data, record and information that being or to be in relation to the Products and that may be necessarily required for CMS to perform the rights and obligations of this Agreement but, in each case, are non-exclusively related to the commercialization and/or manufacture of the Products in or for the Territory and, in each case that is in existence, reasonably accessible and owned and controlled by the Company and/or its Affiliates as at or from the Completion Date.

License Assets has the meaning set forth in the recitals.

License Assets means those assets maintained by MTC, MMP II and the MMP II Licensee Entities in order for those entities to comply with their obligations under the Time Brokerage Agreement.

License Assets has the meaning set out in Section 5.5.

License Assets means the assets described in Section 2.1(b), but excluding the Excluded Assets.
