The cumulative Data Rights License Upgrade Option price is a summation of the Section J series of Attachments labeled J-06B, J- 07B, J-08B, and J-9B.
Data Rights License Upgrade Option – If the Offeror so chooses, the Offeror shall fill this in with their proposed cumulative price for those rights which the Offeror is willing to sell in accordance with Section L.
Any fees previously paid by you for the replaced license(s) and/or any related Maintenance Periods (as defined below) are factored into the fees set forth in the Order for the License Upgrade; under no circumstances shall you be entitled to a refund of fees previously paid by you for the replaced license(s) and/or any related Maintenance Periods.
An initial Maintenance Period may or may not be included with the purchase of a License Upgrade.
The initial Maintenance Period (if any) applicable to the License Upgrade shall be as set forth in the Order and may be a term of less than or greater than one year depending upon a number of factors, including but not limited to, whether or not the license which formed the basis of the License Upgrade was under active maintenance and support at the time of the License Upgrade and the length of the Maintenance Period (if any) remaining at such time.
For the avoidance of doubt, while a License Upgrade may increase the number of products available for use under a given license seat (i.e. increase the number of products available for use by your existing Licensed Developer), Licence Upgrades do not result in any duplication of licenses and do not increase the number of seats under a given license.
In the event that such inspection reveals non-compliance, including, without limitation, additional License Fees being owed to Cireson because Licensee has not purchased the appropriate License to accommodate its actual usage, Licensee shall, subject to ORS 293.462, pay the License Upgrade Fee within thirty (30) days of invoicing.
Commencing on the day following the end of the maintenance term committed in the Order, and provided all fees due under this Agreement, including any applicable License Upgrade Fees, are paid in full, Client may elect to cancel Maintenance and retain the right to License Type Definition use the Licensed Product(s) in accordance with the terms and conditions of this Agreement.
When due, Cireson (or the Cireson Reseller) will submit an invoice for the License Upgrade Fees due along with any applicable Taxes, fees or charges due.
In the event that any amount remains unpaid after forty-five (45) days of the date of receipt of the Cireson invoice, Cireson may upon written notice suspend or revoke the License (if the License Fee or any License Upgrade Fee is unpaid), Support and Maintenance (if the Support and Maintenance Fee is unpaid), or Software Assurance (if applicable), or all of the above.
