Licensed Business Technology definition

Licensed Business Technology means Business Technology that as of the Closing Date is owned by Seller or any Affiliate, or to which Seller or any Affiliate has the right to grant licenses to Purchaser of the scope granted in the Intellectual Property License Agreement without the payment of royalties or other consideration to third parties, in each case other than Transferred Business Technology.
Licensed Business Technology means the Business Technology that is not Transferred Business Technology and that is licensed by Seller to Purchaser pursuant to the Seller License Agreement.
Licensed Business Technology means all Business Technology excluding the Transferred Business Technology.

  • Neither party is required hereunder to furnish or disclose to the other any technical or other information (including copies of the Licensed Business Technology or Transferred Business Technology), except as specifically provided herein or in the Purchase Agreement.

More Definitions of Licensed Business Technology

Licensed Business Technology means the Technology that is owned by Seller or any Subsidiary of Seller and set forth in Schedule A hereto. For clarity, Licensed Business Technology excludes Seller PCTV Intellectual Property and all products and Technology of Seller and its Subsidiaries that are not expressly set forth in Schedule A, such as, without limitation, Seller’s “VideoSpin” product.
