Licensed Software Product definition

Licensed Software Product means the software in binary code form, its bug fixes, patches, modifications together or subsequently provided by Advantech and downloaded directly from the web pages (“Web Pages“)available at the domain of Advantech, xxxxxxxxx.xxx.xx, after your acceptance of this Agreement. Licensed Software Product shall not include Open Source Materials or Third Party Materials, and shall exclude any software acquired from sources other than Web Pages or without acceptance of this Agreement.

Licensed Software Product means (a) the DataSelf BI software provided to Licensee by DataSelf in executable form (but not the source code relating thereto), including any Software Components, (b) the Documentation, and (c) any New Releases that DataSelf may provide to Licensee from time to time.

Examples of Licensed Software Product in a sentence

  • Advantech provides Licensed Software Product to Licensee free of charge.

  • Support for Licensed Software Product provided by Advantech to Licensee shall be defined by a Service Level Agreement between the parties.

  • Licensee shall not to export, import or transfer Licensed Software Product and Documentation to any country or end user, or for any known end use, that is prohibited by any applicable laws or regulations (including those countries from time to time subject to embargo by U.S.A., European Union or Taiwan government authorities).

  • Advantech shall own the rights (including intellectual property rights), titles, interests in Licensed Software Product, Documentation, modification to Licensed Software Product or Documentation, and derivative work, analysis or report which containing or generated by Licensed Software Product or Documentation.

  • Licensed Software Product, Documentation and Licensed Platform should not be used for any life-saving, life- support, medical or other application where product failure may lead to loss of life or catastrophic property damage.

  • Notwithstanding the foregoing, the parties may negotiate and define license fees and payment term for Licensed Software Product and Documentation in a separate agreement.

  • The source code of Licensed Software Product is highly confidential and proprietary to Advantech; Licensee shall have no right to access or use such source code.

  • Licensee acknowledges that Licensed Software Product may incorporate certain Open Source Software or Third Party Software as further described in Exhibit A.

  • Licensee shall not cause or permit modification, creating derivative works, duplicating, disassembling, decompiling or reverse engineering decryption, or otherwise of or to Licensed Software Product or otherwise attempt to discover the source code of Licensed Software Product or Documentation.

  • Advantech hereby grants Licensee a worldwide, revocable, non-exclusive, non-transferable license to use Licensed Software Product on or with Licensed Platform, and to distribute Licensed Software Product to its customer of Licensed Platform for being used on or with Licensed Platform only.


More Definitions of Licensed Software Product

Licensed Software Product means a software product set forth in Schedule 1, together with the documentation provided therewith by the Licensor. Any update or enhancement of a Licensed Software Product that is generally made available by VMI, that is substantially similar thereto and that is marketed under the same product number and nomenclature shall be added to Schedule 1 as a Maintenance Release. "Licensed Software Product" does not include any update, new version or enhancement of the foregoing unless VMI, at its sole discretion, adds such item to Schedule 1.
Licensed Software Product means any assemblage of software programs, processes and modules, and the documentation with respect thereto, separately licensed to Customer by IBSS as a discrete product.
Licensed Software Product means a software product set forth in Attachment A, together with the documentation, if any, provided therewith by Voxware expressly for distribution to end-users. "Licensed Software Product" does not include any update, new version or enhancement of the foregoing unless Voxware, in its sole discretion, adds such item to Attachment A and the fees therefor to Attachment D. Voxware reserves the right to change, modify or discontinue any Licensed Software Product at any time provided that Voxware provides reasonable notice to Licensee.

  • Software Product means any COTS which you propose to provide pursuant to the contract.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Software Products and “Software” are interchangeable and mean software, computer source codes and other computer programs.

  • Licensed Materials means any materials that Executive utilizes for the benefit of the Company (or any Subsidiary thereof), or delivers to the Company or the Company’s Customers, which (a) do not constitute Work Product, (b) are created by Executive or of which Executive is otherwise in lawful possession and (c) Executive may lawfully utilize for the benefit of, or distribute to, the Company or the Company’s Customers.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Licensed System means, collectively:

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Non-Microsoft Product means any third-party-branded software, data, service, website or product, unless incorporated by Microsoft in a Product.

  • Customer Technology means Customer's proprietary technology, including Customer's Internet operations design, content, software tools, hardware designs, algorithms, software (in source and object forms), user interface designs, architecture, class libraries, objects and documentation (both printed and electronic), know-how, trade secrets and any related intellectual property rights throughout the world (whether owned by Customer or licensed to Customer from a third party) and also including any derivatives, improvements, enhancements or extensions of Customer Technology conceived, reduced to practice, or developed during the term of this Agreement by Customer.

  • Licensed User means an employee, contractor or agent of Client who is authorized by Client to access and use the Licensed Software, to whom a password and user ID has been issued by Client and whose access to the Licensed Software has not been terminated, suspended or surrendered.

  • Licensed Services means all functions performed by the Licensed System.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Licensed Data means the data licensed by the LME to the Licensee set out in the Order Form and further defined in Schedule 1 (Licensed Data);

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • Licensed Know-How means all Know-How that (a) is Controlled by Pfizer or any of its Affiliates as of the effective date of the Pfizer-MPP Agreement, (b) directly relates to the use of the Compound, Product or Licensed Product in the Field, and (c) is not in the public domain or otherwise generally known. For the avoidance of doubt, (i) Licensed Know-How shall not include any Know-How to the extent solely and directly related to any other Pfizer compound or to the extent related to the use of the Compound, Product or Licensed Product outside the Field and (ii) Licensed Know-How includes only that Know-How, designated by Pfizer in its sole discretion, necessary for the manufacture, registration and commercialization of the Compound and/or Licensed Product for use in the Field. For the avoidance of doubt, Licensed Know-How excludes any Know-How related to ritonavir that has been (either as of the Effective Date or at any time during the term of this Agreement) in-licensed by Pfizer from any Third Party.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Licensed Content means those articles or other parts of a Licensed Title which form part of the content licensed in accordance with the Order (including all content published during the Subscription Period or other period specified in the Order to which access and use rights are granted under this Licence, and including all Previously Subscribed Material).

  • Licensed Field of Use means all fields.

  • Licensor Technology means the Licensor Patents, the Licensor Know-How, Licensor Materials, Product IP, and Licensor’s rights in the Program IP and Joint Patents.

  • Licensed Fields of Use means the fields of use identified in Appendix B.

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Court or Court Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Proprietary product means a manufactured component or other product that is produced by a private person. It may be protected by patent, trademark or copyright.
