Licensee Background Patents definition

Licensee Background Patents means Patents owned or Controlled by Licensee, or any of its Affiliates as of the Effective Date or Controlled by Licensee, or any of its Affiliates or its Sublicensees, during the Term that claim Licensee Background Know-How or that is reasonably necessary or useful to Exploit any Portfolio Compound, Licensed Compound or Licensed Product.
Licensee Background Patents means the Patents within the Licensee Background Technology.
Licensee Background Patents means any and all Patents that are Controlled by Licensee or any of its Affiliates that claim discoveries, inventions, developments or innovations made by or on behalf of Licensee prior to the Effective Date and/or other than in performance of activities conducted under this Agreement.

Examples of Licensee Background Patents in a sentence

  • Licensee will keep Anacor reasonably informed with regard to any matters related to the Prosecution of Licensee Background Patents that are relevant to the Development, use or Commercialization of the Licensed Product.

  • Licensee shall have the sole right to Prosecute Licensee Background Patents and final decision making authority with respect thereto.

  • Subject to the remainder of this Section 12.5.1, as between the Parties, Licensee will have sole control of and responsibility for the Prosecution and Maintenance (and all applicable Patent Costs therefor), in Licensee’s name, all Joint Program IP Patents within the Licensee Territory, Licensee Program IP Patents and all Licensee Background Patents (collectively, the “Licensee Controlled Patents”).
