University, and any Licensee Entity having rights in the affected Assigned Patent(s), shall have the right (but not the obligation) to participate voluntarily in the absence of any request by BMS, at its own cost, in any BMS-controlled litigation activities concerning the Assigned Patents.
For purposes of this Article 13, any public announcement by a Licensee Entity shall be deemed to be a public announcement by University, in which event University shall cause such Licensee Entity to comply with the foregoing provisions.
In addition, BMS shall ensure for itself and its Affiliates and transferees that each sublicense agreement with a sublicensee (unless such sublicensee is a University transferee or Licensee Entity) under the Grant-back Licenses requires that such sublicensee not, and not permit any of such sublicensee’s Affiliates or (direct or indirect) sublicensees to, make, have made, import, sell, offer to sell, use, develop or commercialize any such compound (including Designated Compound) within the Designated Field.
DECE may assign or transfer this Agreement to any Person that agrees to assume DECE’s obligations hereunder, and DECE shall provide Executing Licensee Entity with notice of such assignment or transfer.
Notwithstanding anything to the contrary contained herein, if Executing Licensee Entity or any of its Controlled Affiliates is a Member of DECE or included in the Controlled Group (as such term is defined in the LLC Agreement) of a Member of DECE, this Agreement shall not be deemed to in any way modify Executing Licensee Entity’s or its Controlled Affiliates’ obligations associated with membership in DECE under the LLC Agreement.
Any attempted assignment, transfer or delegation by any Licensee Entity other than as expressly permitted in this Section 13.2, shall be null and void.
A cure period shall not be required under this Section 10.2.2 in the event of a pattern of behavior by Licensee involving repeated material breaches of this Agreement for which Executing Licensee Entity received prior notice(s) of breach.
DECE may, upon at least 120 days notice to Executing Licensee Entity, modify or change the fees payable hereunder effective beginning on January 1 of the next calendar year.
Each Licensee Entity shall be jointly and severally liable for the obligations and liabilities hereunder of each Licensee Entity, including, for the avoidance of doubt, of any Former Licensee Entities.
Executing Licensee Entity agrees (i) to cause all of its Controlled Affiliates to comply with the terms and conditions of this Agreement and (ii) that any breach of this Agreement by any of its Controlled Affiliates shall constitute a breach of this Agreement by Executing Licensee Entity.
