Licensee Service definition

Licensee Service means the execution of an Object Code copy of a Licensee Product owned by Licensee or a Subsidiary of Licensee that takes place on either (a) a Licensee or Subsidiary of Licensee-owned computer system, or (b) on a third-party-owned computer system where the execution of the Licensee Product is under the direct supervision and control of Licensee or a Subsidiary of Licensee.

Licensee Service means the applications and services developed by Licensee to enable Users to easily access Content through the Samsung Service, together with applicable upgrades, enhancements, fixes and versions that Licensee may deliver to Samsung.

• Upon selection of a Reference Contract pursuant to SUBPARAGRAPH 2(e)(ii), Licensee shall notify Operator and immediately thereafter, Licensee and Operator shall cooperate in good faith to diligently and expeditiously execute and deliver an agreement on the terms and conditions of the Reference Contract as modified by SUBPARAGRAPH 2(e)(ii) (each, a "Licensee Service Contract").

• Upon the expiration of one year following the date of execution of the first Licensee Service Contract, or upon the expiration or termination of any subsequent Licensee Service Contract in accordance with its terms, Licensee shall be entitled to select a replacement contract in accordance with the provisions of SUBPARAGRAPH 2(e)(i) AND (ii).

• Notwithstanding anything to the contrary in this Agreement, Licensee shall have the right to temporarily suspend or permanently withdraw any Included Program (or one or more episodes of the same) from the Licensee Service at any time for any reason.

• Payment of Royalties (and, if applicable, Minimum Royalties) with respect to each calendar quarter shall be due within forty-five (45) days after the end of Royalty Period, beginning with the earlier of (i) the Royalty Period in which the first sale of a Licensee Product or Licensee Service occurs, or (ii) the Royalty Period for which Minimum Royalties are due.
