The public performance rights in the musical compositions embodied in each advertisement submitted to the Licensee Service are: (i) controlled by ASCAP, BMI, SESAC, and/or the local music performance rights organization(s) in the applicable countries of the Territory; or (ii) in the public domain.

Upon the expiration of one year following the date of execution of the first Licensee Service Contract, or upon the expiration or termination of any subsequent Licensee Service Contract in accordance with its terms, Licensee shall be entitled to select a replacement contract in accordance with the provisions of SUBPARAGRAPH 2(e)(i) AND (ii).
Notwithstanding anything to the contrary in this Agreement, Licensee shall have the right to temporarily suspend or permanently withdraw any Included Program (or one or more episodes of the same) from the Licensee Service at any time for any reason.
Payment of Royalties (and, if applicable, Minimum Royalties) with respect to each calendar quarter shall be due within forty-five (45) days after the end of Royalty Period, beginning with the earlier of (i) the Royalty Period in which the first sale of a Licensee Product or Licensee Service occurs, or (ii) the Royalty Period for which Minimum Royalties are due.
