For purposes of this definition, “control” will mean the direct or indirect ownership of (a) at least fifty percent (50%) or the maximum percentage, if less than fifty percent (50%), as allowed by applicable law, of the outstanding voting securities of such entity, or (b) at least fifty percent (50%) of the decision-making authority of such entity.
