Lion Stock means common stock, no par value, of Buyer.

  • No vote of the holders of Lion Stock or other securities is necessary (under applicable Law, the rules and regulations of the New York Stock Exchange or otherwise) for Buyer to perform its obligations under this Agreement or to consummate the transactions pursuant to this Agreement.
