Liquidity Put definition

Liquidity Put means the sale by a Conduit Purchaser, pursuant to its Program Support Agreement, to one or more of its Program Support Providers of an interest in such Conduit Purchaser’s interest in the Series 2010-3 Note funded or maintained by it at the time of such sale.
Liquidity Put has the meaning given to that term in the Overall Agreement.
Liquidity Put is defined in Section 3.1.

Examples of Liquidity Put in a sentence

  • No Executive put right (other than the Special Liquidity Put Right, as described below).

  • The Liquidity Puts with respect to each Optionor shall expire on the earlier of (a) the date on which such Optionor owns no Stock, (b) the date on which such Optionor has exercised both of its Liquidity Puts or has exercised a Liquidity Put for all of its Option Shares and (c) the date of termination of the Liquidity Put Period.

  • Upon an Optionor’s exercise of its first Liquidity Put or its right as a Tagging Optionor pursuant to Section 3(e)(i), if such Optionor has exercised such Liquidity Put or its right as a Tagging Optionor pursuant to Section 3(e)(i) for less than all of its Option Shares, such Optionor may exercise any remaining Liquidity Put only after at least twelve months have lapsed following the delivery of such Optionor’s prior Notice of Exercise or Tagging Optionor’s Notice (as defined below), as the case may be.

  • A pro rata portion of the foregoing amount will be paid in respect of each fraction of a Unit purchased pursuant to the Liquidity Put.

  • In any event, promptly (but in no event more than one Business Day) after the occurrence of a Liquidity Put or a CP Disruption Event, each applicable Managing Agent shall notify the Master Servicer and RCFC as to the occurrence of such Liquidity Put or CP Disruption Event.

  • Except as provided in clause (A) of the immediately preceding sentence, the fact that a Unit is put and not purchased in a year shall not entitle the Unitholder to any Liquidity Put priority in any subsequent year.

  • Notwithstanding the foregoing, if a defaulting Optionor is the Initiating Optionor, any Tagging Optionor may proceed with a previously delivered Tagging Optionor’s Notice and close on the purchase of Put Option Shares, but such closing shall be counted as the exercise of a Liquidity Put by the Tagging Optionor.

  • If any Managing Agent exercises a Liquidity Put with respect to any request for Advance or any existing Advance funded by a Conduit Purchaser, such Managing Agent shall use reasonable efforts to notify the Master Servicer and RCFC of such possibility.

  • An example of the computation of the Liquidity Put Number is set forth in Exhibit 3.3(a).

  • A Managing Agent’s failure to so notify shall not in any way prevent the exercise of a Liquidity Put.


More Definitions of Liquidity Put

Liquidity Put means, with respect to a Structured Purchaser, that such Structured Purchaser, pursuant to its Liquidity Agreement, has sold to one or more Support Banks an interest in such Structured Purchaser's interest in the Class B Certificates funded or maintained by such Structured Purchaser at the time of such sale.
Liquidity Put has the meaning as set forth in the GA Overall Agreement and the TX Overall Agreement, respectively, and as applicable.
Liquidity Put shall have the meaning provided for in the Put Option Agreement.

Related to Liquidity Put

  • Liquidity Agent means any bank or other financial institution acting as agent for the various Liquidity Providers under each Liquidity Agreement.

  • Liquidity Provider means each bank or other financial institution that provides liquidity support to any Conduit Purchaser pursuant to the terms of a Liquidity Agreement.

  • Liquidity Commitment means, as to each Liquidity Bank, its commitment under its related Liquidity Agreement.

  • Liquidity Funding means (a) a purchase made by any Committed Lender pursuant to its Liquidity Commitment of all or any portion of, or any undivided interest in, an applicable Conduit’s Loans, or (b) any Loan made by a Committed Lender in lieu of such Conduit pursuant to Section 1.1.

  • Liquidity Bank means the Person or Persons who provide liquidity support to any Conduit Lender pursuant to a Liquidity Agreement in connection with the issuance by such Conduit Lender of Commercial Paper Notes.

  • Liquidity Amount means, as of any date of determination, the sum of (a) the Aggregate Borrowing Availability as of such date and (b) the Unrestricted Cash Amount as of such date.

  • Liquidity Price means the price per share equal to (x) the Valuation Cap divided by (y) the Liquidity Capitalization.

  • Replacement Liquidity Provider has the meaning set forth in the Intercreditor Agreement.

  • Class A Liquidity Provider has the meaning set forth in the Intercreditor Agreement.

  • Master Servicer Advance Date As to any Distribution Date, 12:30 p.m. Pacific time on the Business Day immediately preceding such Distribution Date.

  • Class A Liquidity Facility has the meaning set forth in the Intercreditor Agreement.

  • Liquidity Condition means an event of immediate termination or suspension as specified in a Liquidity Facility, upon the occurrence of which the Standby Purchaser is not obligated to purchase Multi-Modal Bonds, and, accordingly, such Bonds are not subject to tender for purchase.
