Loan and Security Documents definition

Loan and Security Documents means those documents referred to in Section 4.1.1 hereof, as each of the same may be amended and/or restated from time to time, and any and all other documents now or hereafter executed in connection with the Line of Credit.
Loan and Security Documents means some or all of the following documents as may be executed pursuant to this Loan Agreement and, if executed, attached as Exhibits hereto: (a) Security Agreement; (b) Secured Promissory Note(s); (c) UCC filing(s): (d) Guarantee(s); (e) Stock Pledge Agreement(s) and stock powers; (
Loan and Security Documents means, collectively, the Security Agreements, this Loan Agreement, and the Promissory Note from the Borrower in favor of the Lender.

Examples of Loan and Security Documents in a sentence

  • This Agreement, the Loan and Security Documents and such other agreements, documents or instruments constitute Borrower's valid and legally binding obligations and are enforceable against Borrower in accordance with their respective terms, subject to applicable bankruptcy, insolvency and other laws affecting the rights of creditors generally.

  • No such pledge or enforcement thereof shall release Bank from its obligations under any of the Loan and Security Documents.

  • Any unapplied portion of such Award held by the Depository when such taking ceases or expires (if no Event of Default has then occurred and is continuing), or after the indebtedness secured by this Trust Deed or due under the Loan and Security Documents shall have been paid in full, shall be paid to the Person lawfully entitled thereto.

  • All attorneys' fees and costs of Lender related to the costs for the preparation of this Loan Agreement and any of the other Loan and Security Documents shall be paid by the Lender.

  • All consents or approvals of any person which are necessary for, or are required as a condition of, the execution, delivery, and performance under the terms of the Loan and Security Documents have been obtained.

  • Any unapplied portion of such Award held by the Depository when such taking ceases or expires (if no Event of Default has then occurred and is continuing), or after the indebtedness secured by this Mortgage or due under the Loan and Security Documents shall have been paid in full, shall be paid to the Person lawfully entitled thereto.

  • The foregoing notwithstanding, this Agreement only modifies the content of the Loan and Security Documents as expressly stated herein.

  • This Loan Agreement, including the exhibits and schedules hereto, and the Loan and Security Documents contain the entire understanding and agreement among the parties hereto with respect to the subject matter hereof, and supersedes all prior agreements and understandings, express or implied, oral or written, among the parties with respect to such subject matter.

  • The Assignor hereby absolutely and irrevocably assigns, transfers and sets over unto the Assignee, its successors and assigns, the Indebtedness and the Loan and Security Documents, and all the right, title and interest of the Assignor in the Indebtedness and the Loan and Security Documents, together with the full benefit of all powers and all covenants and provisos contained in the Loan and Security Documents effective as of the date hereof (the “Closing Date”), the whole without any novation.

  • The Assignee, the Borrowers and the Guarantors hereby acknowledge receipt of a true copy of this Agreement and the Loan and Security Documents.
