Local Conveyance Documents means one or more Bills of Sale, Assignment and Assumption Agreements and Deeds of Transfer with respect to the transactions contemplated by Section 2.1 and Section 2.2, respectively, to be entered into by the Purchaser and the Sellers (or their respective Affiliates) as of the Closing Date, each on customary terms in a form to be mutually agreed upon by the Purchaser and the Sellers prior to the Closing Date pursuant to Section 6.17.
