London Branch at its principal office in London, as principal paying agent (the "Principal Paying Agent") for the Notes. The Notes will be issued in bearer form or in definitive registered form without coupons (the "Registered Notes"). The Notes issued in bearer form will be represented initially by a temporary global Note, which will be delivered to a common depositary outside the United States for the operator of the Euroclear System (the "Euroclear Operator"), Clearstream Banking, societe anonyme ("Clearstream") or any other relevant clearing system. Beneficial interests in a temporary global Note will be exchangeable for beneficial interests in a permanent global Note.
