Long Stop Date definition

Long Stop Date has the meaning given to it in Clause 4.3;
Long Stop Date shall have the meaning ascribed to the term in Clause 5.4(ii);
Long Stop Date means 31 December 2021, or such later date as the parties to this Agreement may agree;

  • If any of the Conditions Precedent, to the extent not waived by the Investor in writing, are not fulfilled to the satisfaction of the Investor on or before the Long Stop Date or any such Conditions Precedent becomes incapable of being satisfied (unless they have been waived by the Investor in writing), this Agreement shall thereupon terminate and no Party hereto shall be entitled to make any claim against any other Party.

  • Pending Completion, if the Seller becomes aware that any Completion Condition is not or is not likely to be fully satisfied by the Target Completion Date, or if later, the Completion Date and/or the Long Stop Date or becomes aware of any matter or thing which is or might adversely affect, delay, prevent or hinder the satisfaction of any Completion Condition, it shall promptly notify the Purchaser in writing.


More Definitions of Long Stop Date

Long Stop Date means the date, if any, specified in the Key Provisions;
Long Stop Date means the date specified as such in the Trigger Event Notice, which date shall be at least 15 Business Days following the Notice Cut-off Date;
