LSI Assets definition
LSI Assets means those assets and properties listed or described on Exhibit F and any other asset relating to, or used by LSI or LSI LLC in, the Businesses, other than the Excluded Assets;

LSI has no liabilities or obligations of any kind, character or description that has not been disclosed prior to the closing or that would encumber LSI Assets, Technology and Business.
LSI owns all of the LSI Assets free and clear of all Liens except the Permitted Encumbrances and, as of the Closing, LSI LLC will own all of the LSI Assets, free and clear of all Liens except the Permitted Encumbrances.
As of the Closing, all of the tangible LSI Assets will be in LSI LLC's possession and control or subject to valid and existing Contracts.
