Where the Notes are issued by a Luxembourg Issuer the provisions of Articles 86 to 97 of the Luxembourg law of 10 August 1915 on commercial companies, as amended, are excluded.
Pursuant to the Escrow Account Pledge Agreement, the Luxembourg Issuer will grant to the Trustee, for its benefit and the benefit of the holders of the Notes, a first priority security interest in the Escrow Account and all amounts on deposit therein to secure the Obligations under the Notes pending disbursement as described below.
Subject to paragraph (c) below, if the Notes are Bearer Notes which are not represented by Global Notes, notices to holders will be published in a leading daily newspaper having general circulation in London (which is expected to be The Financial Times) or, in the case of a Luxembourg Issuer, in Luxembourg (which is expected to be the Luxemburger Wort) or, if in the opinion of the Note Trustee such publication shall not be practicable, in an English language newspaper of general circulation in Europe.
In case of Registered Notes issued by a Luxembourg Issuer, the Registrar shall send a copy of the relevant Register to the relevant Luxembourg Issuer who will update the relevant Duplicate Register accordingly.
Title to Registered Notes passes by registration in the Register which the Registrar has agreed in the Agency Agreement to keep, and in the case of a Luxembourg Issuer, the Duplicate Register.
