Majority Series B Holders definition

Majority Series B Holders means the holders of more than fifty percent (50%) of the voting power of the outstanding Series B Preferred Shares, voting together as a single class.
Majority Series B Holders means the holders of more than fifty percent (50%) of the then outstanding Series B Preferred Shares, and the Conversion Shares issued upon conversion thereof, on a fully-diluted and as-converted basis.
Majority Series B Holders means the holders of more than fifty percent (50%) of the voting power of the then issued and outstanding Series B Shares.

  • No adjustment in the Series B Conversion Price shall be made as the result of the issuance or deemed issuance of New Securities if the Company receives written notice from the Majority Series B Holders agreeing that no such adjustment shall be made as the result of the issuance or deemed issuance of such New Securities.

  • Notwithstanding the foregoing, any attempt by a Key Holder or any other Common Holder (other than FSL and Tiger) to transfer Equity Securities in violation of Section 2 or 3 shall be void, and the Company agrees it will not effect such a transfer nor will it treat any alleged Transferee as the holder of such Shares without the written consent of the Majority Series A Holders, the Majority Series B Holders and the Majority Series C Holders, each voting or consenting as a single class.

  • This Agreement may be amended or modified and the observance of any term hereof may be waived (either generally or in a particular instance and either retroactively or prospectively) only by a written instrument executed by (i) the Company, (ii) the Key Holders holding a majority of the Common Shares held by all Key Holders; (iii) Tiger; (iv) the Majority Series C Holders, (v) the Majority Series B Holders and (vi) the Majority Series A Holders.

  • At any time after a notice from the Corporation is given pursuant to the first sentence of this subsection and before the applicable Redemption Date, either the Majority Holders or the holders of a majority of the shares of Series B Preferred Stock then outstanding (the "Majority Series B Holders") may notify the Corporation in writing that such Majority Holders or Majority Series B Holders, as the case may be, object to partial redemptions as provided in the first sentence of this subsection.

  • IT IS AGREED AS FOLLOWS: The Majority Series B Holders hereby waive any Event of Default pursuant to Section 6(ix) of the Certificate of Designation of Series B Preferred Shares that shall arise from or in connection with the occurrence of a Non-Registration Event as provided in Section 11.4 of the Series B Subscription Agreement.


More Definitions of Majority Series B Holders

Majority Series B Holders means, collectively, the Stockholders holding at least a majority of the then-outstanding shares of Series B Preferred Stock.
