There shall be deposited into the Mall Tenant Improvements Reserve Account the amounts set forth in Section 2.10.
On or prior to the Mall Release Date, there shall be established the Mall Tenant Improvements Reserve Account (the "Mall Tenant Improvements Reserve Account").
The Mall Tenant Improvements Reserve Account and all amounts therein shall be owned by GCCLLC and shall be subject to the sole control of the Disbursement Agent.
If any such lien, at any time, is filed against the Premises or any part of the Mall, Tenant will cause such lien to be discharged of record within ten (10) days after the filing of such lien, except that if Tenant desires to contest such lien, it will furnish to Landlord, within such ten (10) day period, security reasonably satisfactory to Landlord of at least on hundred fifty percent (150$) of the amount of the claim, plus estimated costs and interest.
FDMS shall have the exclusive right to approve or disapprove, in its sole discretion, all Mall Tenant applications regardless of the origin of such application.
At Closing, Seller shall deliver therewith a check to Purchaser's order in the aggregate amount of any cash security deposits maintained by Seller for the benefit of tenants under Mall Tenant Leases, including accrued interest, if any, which would be due to tenants if such deposits were withdrawn on the Closing Date or, at the option of Seller, Seller will allow Purchaser a credit against the Purchase Price in the amount of such deposits.
