Managed Services Offering definition

Managed Services Offering means a product offering by MSP as expressly set forth on the Order Form that combines the features and functions of the applicable Cloud Service with additional software products or services of MSP, which have substantial additional value apart from the applicable Cloud Service, the combination of which is made available to MSP Customers. For the avoidance of doubt, a product offering shall only be deemed a Managed Services Offering if expressly set forth on the applicable Order Form.
Managed Services Offering means outsourced management and business process services (e.g. care management and practice management services) offered by NantHealth and managed on behalf of a client.
Managed Services Offering means a product offering by MSP as expressly set forth on the Order Form that includes the features and functions of the Software, as well as additional software products of MSP that add substantial additional value to the Software, the combined features and functions of which are made available to MSP Clients as a service, which service is managed by MSP on servers owned or controlled by MSP or, with Elastic’s written consent (e-mail sufficient if receipt confirmed or acknowledged), on servers owned or controlled by MSP Client, provided that (i) except for the limited right to have the Software installed on such servers, the MSP Client shall have no license or sublicense to the Software and (ii) MSP agrees to be responsible to Elastic for any use of the Software by MSP Client in violation of the terms and conditions of this Agreement. For the avoidance of doubt, except as set forth in the preceding sentence, such MSP Clients do not receive a license to any Software in connection with their purchase of the right to use the Managed Services Offering, and do not own or control the servers on which the software components of the Managed Services Offering are run. For the avoidance of doubt, a product offering shall only be deemed a Managed Services Offering if expressly set forth on the Order Form.

Examples of Managed Services Offering in a sentence

  • During the Agreement Term, MSP may use the Elastic Trademarks solely to identify the Cloud Service, and to promote the availability of the Cloud Service as part of the Managed Services Offering.

  • During the applicable Subscription Term for a Cloud Service, Elastic will provide MSP with Support Services for the applicable Managed Services Offering in accordance with the applicable Support Services Policy and the Subscription Level purchased by MSP.

  • Each party will provide reasonable assistance to the other with conducting acceptance testing, as needed and if requested by a Sublicensed Customer or NantHealth in connection with a Managed Services Offering.

  • The parties will develop mutually agreeable processes for fulfilling and implementing Sublicensed Customer transactions or Managed Services Offering transactions entered into in accordance with this Agreement.

  • In such cases, the Parties will, in good faith, mutually agree upon reasonable acceptance testing procedures and criteria with such Sublicensed Customer (or as between Allscripts and NantHealth in the case of a Managed Services Offering) and to determine a reasonable period during which the Party will remedy any defects.

  • Orders for Subscriptions may be placed by MSP through the execution of Order Forms with Elastic, setting forth the (i) applicable MSP Client, (ii) Subscription Level, (iii) Managed Services Offering, (iv) number of Billable Nodes and/or Resource Units for which MSP has purchased a Subscription, (v) Subscription Term, and (vi) total price for such Subscription.

  • In order to access, administer and maintain a Cloud Service for use in connection with a Managed Services Offering, MSP must first register for one or more account(s) (each an “Account”).

  • MSP Customer shall not make available to any third party any analysis of the results of operation (including benchmarking results) of the Cloud Service or, if applicable, Software Component, as accessed via the Managed Services Offering.

  • The Subscription Level, the number of Billable Nodes and/or Resource Units and the Managed Services Offering for which the applicable Subscription was purchased, are set forth on the applicable Order Form entered into by Elastic and MSP for the purchase of the applicable Subscription.

  • MSP may use the Elastic Trademarks solely to identify the Commercial Software, and to promote the availability of the Commercial Software as part of the Managed Services Offering.

Managed Services Offering means a product offering by MSP as expressly set forth on the Order Form that includes the features and functions of the Software, as well as additional software products, of MSP and/or third parties, that add substantial additional value to the Software, the combined features and functions of which are made available to MSP Clients as a service, on a single-tenant basis (i.e., each cluster of Software is used for a unique MSP Client), which service is managed by MSP on servers owned or controlled by MSP or, with Elastic’s written consent (e-mail sufficient if receipt confirmed or acknowledged), on servers owned or controlled by MSP Client, provided that (i) except for the limited right to have the Software installed on such servers, the MSP Client shall have no license or sublicense to the Software and (ii) MSP agrees to be responsible to Elastic for any use of the Software by MSP Client in violation of the terms and conditions of this Agreement. For the avoidance of doubt, except as set forth in the preceding sentence, such MSP Clients do not receive a license to any Software in connection with their purchase of the right to use the Managed Services Offering, and do not own or control the servers on which the software components of the Managed Services Offering are run. For the avoidance of doubt, a product offering shall only be deemed a Managed Services Offering if expressly set forth on the Order Form.

  • Managed Services means the services provided by a Client to End Users using the SaaS and Client’s intellectual capital and/or additional services supplied by Client.

  • Program services means services that include all of the following provided they are pursuant to a program agreement: program needs assessment and development, job task analysis, curriculum development and revision, instruction, instructional materials and supplies, computer software and upgrades, instructional support, administrative and student services, related school to career training programs, skill or career interest assessment services and testing and contracted services.

  • Professional sports services contract means an agreement under which an individual is employed, or agrees to render services, as a player on a professional sports team, with a professional sports organization, or as a professional athlete.

  • Broadband Services means Verizon's Fios or DSL-based Internet services (whichever applies). Verizon's DSL-based Internet service is also known as "High Speed Internet" ("HSI").
