The Management Dispute Notice shall set forth in reasonable detail the nature of the dispute.
Promptly after the delivery of the Management Dispute Notice, each Member shall designate a member of its senior management to meet with each other in person and to exercise all diligent efforts, acting in good faith, to resolve such dispute.
If any Member believes that a Management Dispute exists, such Member may deliver notice thereof to the other Member in writing pursuant to the notice provisions set forth in Section 13.02 (a “Management Dispute Notice”).
