Management Dispute definition

Management Dispute has the meaning set forth in Section 5.8(d).
Management Dispute means (i) any matter described in clauses (i), (iv) or (v) of Section 5.7(a), (iii), (vii), (viii), (ix) or (x) of Section 5.7(b), or (vii) of Section 5.7(c) or any dispute regarding any Required Additional Capital Contribution or whether to request any Requested Additional Capital Contribution, which, after having been presented for approval of the Members, is not approved or rejected by the Required Interest or (ii) any matter requiring the approval of the Board of Managers which, after having been presented for approval by the Board of Managers, is not approved or rejected by the vote required to approve such matter.
Management Dispute means an unresolved disagreement between Liberty and Comcast respecting the operation of the Company and/or Hotel Owner or the management, development, financing, leasing or disposition of the Property.

Examples of Management Dispute in a sentence

  • If any Member believes that a Management Dispute exists, such Member may deliver notice thereof to the other Member in writing pursuant to the notice provisions set forth in Section 13.02 (a “Management Dispute Notice”).

  • Promptly after the delivery of the Management Dispute Notice, each Member shall designate a member of its senior management to meet with each other in person and to exercise all diligent efforts, acting in good faith, to resolve such dispute.

  • The Management Dispute Notice shall set forth in reasonable detail the nature of the dispute.

  • If the senior management-level representatives of the Partners are unable, in good faith, to resolve in its entirety any Management Dispute, then such Management Dispute will remain unresolved.

  • If a dispute that is the subject of a Senior Management Dispute Resolution Notice is not resolved by the Parties within 60 days of the delivery of such Senior Management Dispute Resolution Notice, either Party may submit such dispute for final resolution by an arbitrator in accordance with this Section 21(c) by providing a written notice (each, an “Arbitration Dispute Resolution Notice”) to the other Party to such effect within 30 days after the end of such 60-day period.

  • If a Management Dispute occurs, it will be subject to the provisions of this Section 7.9, notwithstanding any other provision of this Agreement to the contrary.

  • If a dispute arises out of or relates to this Agreement, or breach thereof, either Party may submit such dispute to [ ], in the case of the Company (or such other individual identified in writing by the Company), and [ ], in the case of the Foundation (or such other individual identified in writing by the Foundation), for resolution by providing a written notice (each, a "Senior Management Dispute Resolution Notice") to the other Party setting forth in reasonable detail the basis of such dispute.
