Managing Facility Agent definition

Managing Facility Agent as defined in the preamble to this Agreement.
Managing Facility Agent means such successor agent effective upon its appointment, and the former Managing Facility Agent's rights, powers and duties as Managing Facility Agent and as an Administrative Agent shall be terminated, without any other or further act or deed on the part of such former Managing Facility Agent or any of the parties to this Agreement or any holder of an Assignment. After any retiring Managing Facility Agent's resignation as Managing Facility Agent, the provisions of this subsection shall inure to its benefit as to any actions taken or omitted to be taken by it while it was Managing Facility Agent under this Agreement and the other Purchase Documents. The rights, obligations and duties of the Old Administrative Agent shall be governed by the terms and provisions of the letter, dated as of March 9, 2001, among the Old Administrative Agent, Raytheon, Raytheon Credit and the Managing Facility Agent.

The Old Administrative Agent shall have the right to resign as an Administrative Agent in accordance with the letter, dated March 17, 1999, among the Old Administrative, Raytheon and the Managing Facility Agent, relating to the Old Administrative Agent's term as an Administrative Agent. 110

Examples of Managing Facility Agent in a sentence

  • Neither the Managing Facility Agent nor any Purchaser shall have any responsibility for any such investment and the Managing Facility Agent shall be permitted to liquidate any such investment, without liability for any loss occurring by reason of such liquidation, to the extent necessary to make payments and distributions under this Agreement.

  • A set of the copies of this Amendment signed by all the parties shall be lodged with the Seller and the Managing Facility Agent.

  • The approval of the Managing Facility Agent and at least the Majority Purchasers (calculated as to Purchasers which are not Dissenting Purchasers prior to the applicable Expiration Date) shall be required to extend such Expiration Date.

  • To the extent that actual compensation paid during the first twelve (12) consecutive months falls short of the required payment, the shortfall amount shall be paid in consecutive monthly installments of Ten Thousand Dollars ($10,000.00) beginning in month eighty-five (85) and continuing thereafter until such time when the shortfall has been paid in full.

  • At least 30 but not more than 45 days prior to the applicable Expiration Date, each Purchaser shall notify the Managing Facility Agent of such Purchaser's willingness to extend the Revolving Period, and the Managing Facility Agent shall notify the Seller of such willingness by the Purchasers on such 30th day.

  • Offeror must provide the names and resumes/profiles of the on-site manager and other personnel whom the offeror will use to perform the audit.

  • Upon receipt of any such request, the Managing Facility Agent shall promptly notify each Purchaser thereof.

Related to Managing Facility Agent

  • Exit Facility Agent means the agent under the Exit Facility.

  • Facility Agent has the meaning set forth in the Preamble.

  • Credit Facility Agent means the then acting Agent as defined in and under the Credit Facility or any successor thereto.

  • Facility Manager means director, superintendent, police or sheriff commander or other person in charge of the day-to-day operation of a facility holding youth.

  • L/C Facility means the letter of credit facility established pursuant to Article III.

  • Managing general agent or "MGA" means any person, firm, association or corporation who manages all or part of the insurance business of an insurer, including the management of a separate division, department or underwriting office, and acts as an agent for such insurer whether known as a managing general agent, manager or other similar term, who, with or without the authority, either separately or together with affiliates, produces, directly or indirectly, and underwrites an amount of gross written premium equal to or more than 5% of the policyholder surplus as reported in the last annual statement of the insurer in any one quarter or year together with one or more of the following:

  • Managing Agents as defined in the preamble hereto.

  • LNG facility means a terminal which is used for the liquefaction of natural gas or the importation, offloading, and re-gasification of LNG, and includes ancillary services and temporary storage necessary for the re-gasification process and subsequent delivery to the transmission system, but does not include any part of LNG terminals used for storage;

  • Administrative Agent Fee Letter means that certain fee letter agreement that shall be entered into between the Borrower and the Administrative Agent in connection with the transactions contemplated by this Agreement, as amended, modified, supplemented, restated or replaced from time to time in accordance with the terms thereof.

  • Tanning facility means any premises, building, or part of a building that contains one or more rooms or booths with any of the following:

  • Required Revolving Facility Lenders means, at any time, Revolving Facility Lenders having (a) Revolving Facility Loans (other than Swingline Loans) outstanding, (b) Revolving L/C Exposures, (c) Swingline Exposures and (d) Available Unused Commitments that, taken together, represent more than 50% of the sum of (w) all Revolving Facility Loans (other than Swingline Loans) outstanding, (x) all Revolving L/C Exposures, (y) all Swingline Exposures and (z) the total Available Unused Commitments at such time; provided, that the Revolving Facility Loans, Revolving L/C Exposures, Swingline Exposures and Available Unused Commitment of any Defaulting Lender shall be disregarded in determining Required Revolving Facility Lenders at any time.

  • Initial Lenders has the meaning specified in the recital of parties to this Agreement.

  • Lead Arranger as defined in the preamble hereto.

  • Initial Revolving Facility means the Initial Revolving Credit Commitments and the Initial Revolving Loans and other extensions of credit thereunder.

  • Managing Agent means a person authorized by the landlord to act on behalf of the landlord under

  • Dry cleaning facility means a facility engaged in the cleaning of fabrics in an essentially nonaqueous solvent by means of one or more washes in solvent, extraction of excess solvent by spinning, and drying by tumbling in an airstream. The facility includes, but is not limited to, any washer, dryer, filter, and purification systems, waste disposal systems, holding tanks, pumps, and attendant piping and valves.

  • Co-Lead Arrangers means X.X. Xxxxxx Securities Inc. and RBSGC.

  • Local Facility Provider means HSBC Trinkaus & Xxxxxxxxx XX, Deutsche Bank AG, Commerzbank Aktiengesellschaft and Hong Kong and Shanghai Banking Corporation Ltd., Thailand, Bank of America, N.A., Canada Branch, FIA Card Services, N.A., Citibank N.A., Citibank (China) Co., Ltd., Banco Nacional de Mexico, S.A., Integrante del Grupo Financiero Banamex, Bank of America, N.A., provided in each case it has become a party to, or by execution of an additional bank secured party acknowledgment has agreed to be bound by the terms of, the First Lien Intercreditor Agreement in its capacity as local facility provider.

  • Administrative Agent’s Fee Letter means that certain letter agreement, dated as of April 1, 1998, between the Agent and the Borrower, as amended, modified, supplemented or replaced from time to time.

  • Sole Lead Arranger means SunTrust Xxxxxxxx Xxxxxxxx, Inc., in its capacity as sole lead arranger in connection with this Agreement.

  • Credit Facility Provider means the issuer of or obligor under a Credit Facility.

  • Joint Lead Arranger means (i) X.X. Xxxxxx Securities LLC and (ii) Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated, each in its capacity as joint lead arranger and joint book manager.

  • Joint Lead Arrangers means JPMorgan Chase Bank, N.A., BofA Securities, Inc., Deutsche Bank Securities Inc., Xxxxx Fargo Securities, LLC, The Bank of Nova Scotia, Citibank, N.A. and U.S. Bank National Association, each in its capacity as a joint lead arranger.

  • Arrangers as defined in the preamble hereto.

  • Processing facility means an establishment that prepares, treats, or converts tangible personal property into finished goods or another form of tangible personal property. The term includes a business engaged in processing agricultural, aquacultural, or maricultural products and specifically includes meat, poultry, and any other variety of food processing operations. It does not include an establishment in which retail sales of tangible personal property are made to retail customers.

  • Existing Facility means a facility in existence on any given date, newly constructed or altered.
